Brand terms

Effective October 8, 2026 · History

These terms are for anyone who funds or manages a Seeded campaign ("you", the "client"), through the client portal, our API, a proposal or an order form. They add to the Terms of service. If you act for a brand or artist, such as an agency or manager, you confirm you're authorized to bind them, and you're responsible for them following these terms as well.

The short version

  • Campaigns are prepaid. You fund a budget, and it's spent only on approved, verified views at your agreed rate.
  • You aren't charged for rejected clips or for views we find to be fake.
  • You can approve clips yourself. Clips you don't decide on within 3 days are approved.
  • Unspent budget rolls over to your next campaign for 12 months, or is refunded on request.
  • Clippers own their clips. You can view, share and report on them. Running them as ads needs ad rights.
  • Please don't hire clippers you met through Seeded directly for 12 months.

1Orders, proposals and these terms#

In short: A signed order or accepted proposal sets the commercial terms. These terms cover the rest.

A campaign's commercial terms (rate per 1,000 views, budget, dates, platforms, deliverables) come from what you agree with us: a campaign request in the portal that we accept, a proposal you accept, or an order form. Where an order form signed by both of us conflicts with these terms, the order form wins for that campaign.

2Setting up a campaign#

In short: You tell us what you want. We review it, set it up and run it.

You give us the brief, the asset (a sound, footage, a logo or other material), the platforms, any required caption, tags or disclosure, and the dates. We review every campaign before it goes live and may ask for changes or decline one, for example if it promotes something illegal, targets minors with age-restricted products, makes claims you can't support, or would put clippers at risk.

We decide how the campaign appears to clippers, including what we pay them. Clippers see your campaign's name, brief and asset; they don't see your rate or budget in dollars. Seeded recruits, reviews and pays the clippers, and is responsible to them for their pay.

3Funding and payment#

In short: Prepaid, in US dollars, by card or invoice. Minimum budget $100.00.

  • Prepaid budgets. A campaign goes live once its budget is funded, unless we agree otherwise in writing. The minimum budget is $100.00, and you can top up at any time from the portal.
  • How to pay. By card, or by invoice where we agree. Invoices are due within 15 days unless the invoice says otherwise. Late amounts may be charged interest at 1% a month, or the highest rate the law allows if lower, and we may pause campaigns while an invoice is overdue.
  • Currency and taxes. Prices are in US dollars and exclude taxes. You pay any sales, use, VAT or similar taxes on what you buy, other than taxes on our income.
  • Chargebacks. If you dispute a card payment that was for spend you received, we may pause your campaigns and recover the amount and our costs.

4What you pay for#

In short: Approved clips times verified views times your rate, never more than the budget.

Your budget is spent as approved clips get verified views, at the rate per 1,000 views you agreed, up to the budget and any cap per clip or minimum views the campaign sets. You see spend, views and clips live in the portal.

  • You aren't charged for clips we or you reject, clips waiting on review, or views after the campaign closes.
  • A clip's views are final when it locks, 7 days after it was posted or when the campaign closes.
  • If we find after a clip locked that its views were fake, we credit what you spent on it back to your budget.
  • A campaign closes when its end date passes or most of its budget is spent, so it doesn't overspend. We'll tell you before a budget runs low and you can top up to keep it going.

View numbers come from the platforms' public counts. They may differ slightly from what the platform shows you later, and the count at lock is the one we bill.

5Approving clips#

In short: If your campaign has client approval, you have 3 days to approve or reject each clip.

If your campaign includes client approval, each clip we approve comes to your queue in the portal. You have 3 days to approve or reject it, or a longer window up to 30 days if agreed for the campaign. A clip you don't decide on in time is approved.

Reject a clip only when it doesn't follow the brief, misstates your message, falls short on quality, or for another reason you explain. The clipper sees your reason and can appeal to us; we make the final call based on the brief. Don't use a clip you rejected.

6Unspent budget#

In short: Moves to another campaign for 12 months, or is refunded on request.

When a campaign ends, its funded budget that wasn't spent stays as a credit with us. You can use it on another campaign within 12 months, or ask for a refund within 90 days of the campaign ending by emailing support@seeded.tech. We refund to the original payment method, less any payment processing fees we can't recover. Bonus credit we gave you isn't refundable.

If you cancel a campaign while it's live, spend already committed to approved clips is final, including views those clips get until they lock. The rest is unspent budget.

7Your assets and your promises#

In short: You own or have licensed everything you give us, and clippers can use it in their posts.

You give us and the clippers in your campaign a worldwide, non-exclusive, royalty-free licence to use the campaign's asset, your name and your marks to make, post and keep up clips for the campaign on the platforms it lists, and to promote the campaign on the service. Clips can stay up after the campaign ends unless you ask for them to be taken down; we'll pass on reasonable takedown requests.

You promise that:

  • you own or have licensed every right needed for that use, including both the master recording and the composition for music, and any footage, likenesses, trademarks and logos;
  • your brief and asset are truthful, don't infringe anyone's rights, and follow advertising law, including disclosure rules;
  • you'll tell us about anything clippers must say or avoid for legal reasons, such as required disclaimers;
  • your campaign doesn't target children under 13, or people under the legal age with age-restricted products.

Clippers are required to disclose that their posts are paid (how). Don't ask them not to.

8Rights in clips#

In short: Clippers own the clips. You can view, share, embed and report on them; ads need ad rights.

Clippers own their clips. For each approved clip in your campaign, you may view it, link to it, embed the public post, take screenshots and thumbnails, and use it and its statistics in reports, case studies and internal presentations about the campaign.

You may not download and re-upload a clip, edit it, or run it as a paid ad unless your campaign includes ad rights (such as a TikTok Spark Ads code or whitelisting) and the clipper provides them, and then only through the platform's ad tools and for as long as the clipper's authorization lasts. For any other use, ask us and we'll ask the clipper. Don't use clips or clippers' data to train AI models.

9Reports, data and API keys#

In short: Use clipper data only to evaluate your campaign, and keep your keys safe.

Your reports include clippers' handles, post links and statistics. You may use them only to evaluate and report on your campaigns, not to contact clippers for other purposes, add them to marketing lists, or sell or share them. You and we each handle that data as an independent controller under the privacy policy and applicable law. If you need a data processing agreement, ask us.

Share links to reports work for anyone who has them until you revoke them, so share them with care. API keys are secret: keep them on your servers, rotate them if exposed, and stay within the published rate limits. You're responsible for activity under your keys and your team's logins.

10Working with clippers directly#

In short: For 12 months, hire clippers you met here through Seeded.

For 12 months after a clipper last took part in one of your campaigns, don't pay them, directly or through someone else, for clipping or short-form promotion work you found them for through Seeded, unless you book it through us. If you do, you'll pay us a fee equal to 20% of what you paid them in that period. This doesn't cover anyone you worked with before you met them through us.

11Confidentiality#

In short: We each keep the other's non-public information private.

Each of us will keep the other's non-public business information (such as pricing, results, plans and unreleased assets) confidential, use it only for our work together, and share it only with people who need it and are bound to keep it confidential. This doesn't cover information that is public, already known, independently developed or that must be disclosed by law (with notice where allowed). We may say that you're a client and show results in an anonymized form; we'll ask before naming you in public marketing.

12No guaranteed results#

In short: We work for results but can't promise a number of views.

We don't guarantee a number of clips, views, streams or sales unless an order form says so. Forecasts, benchmarks and estimates in the portal and proposals are estimates. The disclaimers in the Terms of service apply.

13Limits on liability#

In short: Capped at what you paid us in the last 12 months.

For clients, each side's total liability under these terms is limited to the amounts you paid us in the 12 months before the event that led to the claim, and neither side is liable for indirect, consequential or punitive damages or lost profits. These limits don't apply to your payment obligations, either side's indemnity obligations, breach of confidentiality, or anything that can't be limited by law. This section replaces the cap in the Terms of service for clients.

14Indemnity#

In short: Each side covers claims about the things it's responsible for.

You will defend and indemnify us and the clippers in your campaign against third-party claims arising from your assets, your brief, your products or your breach of these terms, including claims that a clip made as your brief directed infringes someone's rights.

We will defend and indemnify you against third-party claims that the Seeded service itself (not clips, your assets or third-party platforms) infringes someone's intellectual property.

The side asking for protection gives prompt notice, reasonable help, and control of the defence to the other, which won't settle in a way that admits fault for it without consent.

15Pausing and ending#

In short: Either of us can end this. Committed spend stays due and unspent budget follows the rules above.

You can pause or end a campaign at any time from the portal or by asking us. Either of us can end these terms with notice; we may also suspend campaigns for unpaid invoices, a breach, or a legal or rights problem with an asset. On ending, committed spend is due and unspent budget follows its rules. Sections on payment, rights in clips already made, confidentiality, non-circumvention, liability and indemnity survive.

16Disputes#

In short: The Terms of service apply, including arbitration.

Disputes follow the dispute section of the Terms of service. As a business, the consumer-specific parts of it don't apply to you. Questions about billing or a campaign: support@seeded.tech.
