Terms of service
Effective October 8, 2026 · History
These terms are an agreement between you and Seeded ("Seeded", "we", "us"). They cover seeded.tech, the clipper app, the client portal, the partner panel, our API and the Seeded Discord bot (together, the "service").
By creating an account, pressing I agree, or using the service, including running a Seeded command or pressing one of its buttons in Discord, you agree to these terms. If you don't agree, don't use the service.
The short version
- Clippers also agree to the Clipper terms, and brands to the Brand terms. Those say how money moves.
- You keep ownership of what you make. You give us only the rights we need to run campaigns and report on them.
- No fake engagement, no scraping, no harassment. The content requirements list what's allowed in a clip.
- If we suspend you, we tell you why, and you can appeal.
- Disputes start with a conversation. If that fails, they go to individual arbitration, not a class action, unless you opt out within 30 days.
- We give 30 days' notice before a significant change to these terms.

1The documents that make up our agreement#
In short: These terms apply to everyone. Other documents add the rules for what you do here.
Depending on how you use the service, these documents also apply and are part of these terms:
Anyone who joins a campaign, submits a clip or gets paid
Every clip submitted to a campaign
Anyone who shares a referral link or signs up through one
Brands, artists, labels, agencies and anyone else who funds a campaign
Everyone. It explains what we collect and why
Campaign brief
Clips for that campaign. The brief can add rules, never remove ones in these documents
| Document | Applies to |
|---|---|
| Clipper terms | Anyone who joins a campaign, submits a clip or gets paid |
| Content requirements | Every clip submitted to a campaign |
| Referral terms | Anyone who shares a referral link or signs up through one |
| Brand terms | Brands, artists, labels, agencies and anyone else who funds a campaign |
| Privacy policy | Everyone. It explains what we collect and why |
| Campaign brief | Clips for that campaign. The brief can add rules, never remove ones in these documents |
If documents conflict, this order wins: a signed order form or proposal, then the Brand terms or Clipper terms, then the content requirements and referral terms, then these terms. The privacy policy always governs how we handle personal data.
2Who can use the service, and your account#
In short: You need to be 13 or older, give us true details, and keep your login to yourself.
You must be at least 13 years old, or older where the law where you live requires it, to use the service. If you are under 18, or under the age of majority where you live, a parent or legal guardian must agree to these terms for you, and payouts go to an account they control.
You can't use the service if you are barred from receiving services or payments under US or other applicable sanctions laws, or if we've closed an account of yours before for breaking these terms.
- One person, one clipper account. Don't create extra accounts, share an account or sell one.
- Keep your details true. Use your real name where we ask for it, and keep your email and payout details current.
- Keep your login secure. You're responsible for what happens under your account. Tell us at once at support@seeded.tech if you think someone else has access.
- Team and client accounts are invite-only. The organization that invites you controls your access to its workspace.
3Discord, TikTok and other platforms#
In short: We work alongside other platforms. Their rules apply too, and we're not part of them.
Much of the service runs on, or reads from, platforms we don't own: Discord, TikTok, Instagram, YouTube, PayPal and others. When you use them through us, their terms apply as well, including the Discord Terms of Service (opens in a new tab), TikTok's Terms of Service (opens in a new tab), Instagram's Terms of Use (opens in a new tab) and the YouTube Terms of Service (opens in a new tab). Our use of YouTube data is also covered by the Google Privacy Policy (opens in a new tab).
Seeded isn't affiliated with, endorsed by or sponsored by any of those platforms. If a platform changes or limits what we can do, for example how we read view counts, parts of the service may change or stop working.
When you connect an account, you confirm it is yours and that you're allowed to connect it. You can disconnect at any time; the privacy policy says what we keep.
4Acceptable use#
In short: Use the service honestly and don't try to break, scrape or game it.
You agree not to:
- inflate views, likes, follows or any other number we pay on or report, or help someone else do it (the content requirements list what counts);
- submit posts from accounts you don't own, or claim someone else's work as yours;
- harass, threaten, impersonate or defraud anyone, including our staff, other clippers and clients;
- scrape, crawl or bulk-download the service, or use anything from it to train an AI model, except through our API under its limits;
- reverse engineer, probe or bypass our security, rate limits or the bot's permissions, or interfere with how the service runs;
- use the service to break the law, including sanctions, consumer protection and advertising law;
- misuse referral links, codes, bonuses or promotions (the referral terms say how);
- resell or sublicense the service, or access it to build a competing product.
5Your content#
In short: What you make stays yours. You let us use it only to run and report on the service.
You keep ownership of everything you submit or upload: clips, links, messages, campaign assets and files ("your content"). You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, display and transmit your content as needed to run, secure and improve the service, and to show it to the people the service is meant to show it to (for example, a clip to the client running that campaign). The Clipper terms and Brand terms say exactly who else gets what rights in clips and campaign assets.
This licence ends when you delete the content or your account, except for copies we must keep for the reasons in the privacy policy (for example, records of paid clips), and except where you've shared it with others who still have it.
We don't use your clips to train AI models, and we don't let our AI provider do so either.
If you send us ideas or feedback, we can use them without paying you or owing you anything.
6Our service and brand#
In short: The software, design and the Seeded name are ours.
The service, its software, design, text, graphics and the Seeded name and marks belong to us or our licensors. We give you a personal, revocable, non-transferable right to use the service as these terms allow. You may share links to public pages and use our name to say truthfully that you clip or run campaigns on Seeded. Anything else, such as using our logo in ads, needs our written permission.
7Copyright complaints#
In short: If something here infringes your rights, tell us and we'll act on it quickly.
We respect intellectual property and respond to notices under the US Digital Millennium Copyright Act (DMCA) and similar laws. To report content on the service that you believe infringes your copyright, email support@seeded.tech with:
- your name, address, phone number and email;
- the work you say is infringed;
- the link or location of the material you want removed;
- a statement that you believe in good faith the use isn't authorized by the owner, its agent or the law;
- a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for them;
- your physical or electronic signature.
If we remove something of yours after a notice, we'll tell you. If you believe it was removed by mistake, you can send a counter-notice with your contact details, the material and where it was, a statement under penalty of perjury that it was removed by mistake or misidentification, your consent to the jurisdiction of the federal court for your address (or, outside the US, any court where we may be found), and your signature. We'll pass it on, and restore the material in 10 to 14 business days unless the complainant tells us they've gone to court.
Posts on TikTok, Instagram and YouTube live on those platforms; for those, use the platform's own reporting tools as well. We close the accounts of people who repeatedly infringe.
8Fees and payments#
In short: Clipping on Seeded is free. Brands pay for campaigns.
Clippers don't pay to use the service. What clippers earn, and when and how they're paid, is in the Clipper terms. What brands pay is in the Brand terms. Referral rewards are in the referral terms.
Seeded is not a bank, and balances shown in the service are not deposits. We use third-party payment providers to move money, and their terms apply to those transfers.
9AI features#
In short: Some features use AI to help. People make the decisions that affect your pay.
Some features use AI to suggest clip ideas, check a clip against its brief before you submit, and summarize why clips were rejected. These suggestions can be wrong; treat them as help, not a promise that a clip will be approved.
Decisions to reject a clip, claw back earnings or suspend an account are made or confirmed by a person.
10Links and other services#
In short: We're not responsible for websites and tools we link to.
The service links to third-party sites, tools and downloads, including some in our Resources section where we may earn an affiliate commission (we say where). We don't control them and aren't responsible for them. Using them is between you and them.
11Suspension and ending#
In short: You can leave whenever you like. If we suspend you, we say why and you can appeal.
You can stop at any time. Delete your account from Account settings. If you're owed money, we ask you to be paid first so nothing is lost.
We can suspend or close an account when we reasonably believe it broke these terms, puts other people or the service at risk, or when the law requires it. Except where the law, safety or an ongoing fraud investigation stops us, we tell you the reason and how to appeal. Appeals go through a support ticket, on the website or in Discord. The Clipper terms say what happens to earnings.
We may change, pause or stop parts of the service. If we stop the whole service, we'll give at least 30 days' notice and pay out every balance we owe.
Sections that by their nature should last after an account closes do, including those on content licences, payments owed, disclaimers, liability, indemnity and disputes.
12Disclaimers#
In short: We work hard to keep things running, but we can't promise results or perfect uptime.
We provide the service "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't promise that the service will be uninterrupted or error-free, that any campaign will be available, or that any clip will get views or earn a particular amount. Earnings examples, forecasts and estimates are illustrations, not promises.
Some places don't allow these exclusions. Where that's so, they apply only as far as the law allows, and nothing in these terms limits rights you have as a consumer that can't be waived.
13Limits on liability#
In short: If something goes wrong, what we owe is capped, except where the law says it can't be.
To the extent the law allows, neither we nor our suppliers are liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if we were told they were possible.
Our total liability for all claims about the service is limited to the greater of $100.00 and the amounts we paid you, or you paid us, in the 12 months before the event that led to the claim. This doesn't reduce money we owe you for approved, earned clips under the Clipper terms.
These limits don't apply to liability that can't be limited by law, such as for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence.
14Indemnity#
In short: If your content or conduct gets us sued, you cover it.
You'll defend and indemnify us, our staff and the clients running campaigns you take part in against third-party claims, and the costs that come from them, that arise from your content, your breach of these terms or your breach of the law. We'll tell you about the claim promptly, let you control the defence (we may join with our own lawyer at our cost), and won't settle it in a way that admits fault for you without your consent. If you're a consumer, this applies only as far as the law where you live allows. The Brand terms have the version for brands, which goes both ways.
15Resolving disputes#
In short: Talk to us first. If we can't fix it, an individual arbitrator decides, not a court or a class action.
Talk to us first. Before starting any claim, send a written description of it, what you want, and your contact details to support@seeded.tech. We'll do the same if we have a claim against you. Both sides will try in good faith to resolve it for 60 days, and time limits for bringing the claim are paused during that period. Most problems end here.
Arbitration. If we can't resolve it, you and Seeded agree that any dispute about the service or these terms will be decided by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules (opens in a new tab) (or its Comprehensive Rules for claims over $250,000), and where you're a consumer, its Consumer Minimum Standards. The Federal Arbitration Act governs this section. Hearings can be by video or in the county where you live. For a claim you bring as an individual, we pay all JAMS fees beyond the first $250.00. The arbitrator can award the same individual remedies a court could, and decides any question about whether a dispute must be arbitrated.
Exceptions. Either side may bring an individual claim in small-claims court, and either side may go to court to stop infringement or misuse of intellectual property or the service's security.
No class actions. Claims are brought only individually, not as a plaintiff or class member in a class, collective, consolidated or representative proceeding, and the arbitrator can't combine claims of different people. If this sentence is found unenforceable for a claim, that claim goes to court, not to class arbitration. Both sides give up a jury trial.
Many similar claims. If 25 or more similar claims are brought by the same or coordinated lawyers, they are handled in batches of up to 50, with the rest paused until a batch is decided, and time limits paused meanwhile. This keeps everyone's claims moving instead of jamming the system.
Where else. Anything that isn't arbitrated goes to the state or federal courts in Delaware, and both sides consent to their jurisdiction. If you live in the European Union, the United Kingdom or another place whose law gives consumers the right to bring claims in their home courts, nothing here takes that away, and arbitration applies to you only if you choose it.
Governing law. Delaware law, and US federal law where it applies, govern these terms, without regard to conflict-of-law rules. Mandatory consumer protections where you live still apply.
16Changes to these terms#
In short: Significant changes come with 30 days' notice, and some ask you to agree again.
We update these documents as the service changes. For a significant change we give at least 30 days' notice by email, in the app or in our Discord server before it takes effect, and we may ask you to agree again before you continue. Smaller changes, such as clarifications and new features, and changes the law requires take effect when posted. Each document shows its date and a history of what changed. If you don't agree to a change, stop using the service and close your account; we'll pay out what you're owed under the terms that applied before.
17General#
In short: The legal fine print that keeps the rest working.
- Entire agreement. These terms and the documents in the first section are the whole agreement between us about the service.
- Assignment. You can't transfer your rights under these terms without our written consent. We may transfer ours as part of a merger, acquisition or sale of assets, and we'll tell you if that happens.
- Severability and waiver. If a part of these terms is unenforceable, the rest still applies. Not enforcing a term isn't a waiver of it.
- Events outside our control. Neither side is liable for delays caused by things beyond its reasonable control, such as outages at platforms we depend on, but payment obligations still apply.
- Independent parties. These terms don't make us partners, employers, agents or joint venturers.
- Electronic notices. You agree to receive agreements, notices and other communications electronically, by email, in the app or in Discord, and that they meet any requirement to be in writing.
- Language. If we translate these terms, the English version controls.
